IMPORTANT NOTICE REGARDING YOUR LEGAL RIGHTS

These Terms include a binding agreement to arbitrate most disputes, a waiver of class and representative proceedings, extensive disclaimers of warranties, assumptions of risk, a liability cap, restrictions on use by certain jurisdictions and sanctioned persons, and broad releases and indemnities in favor of JupiClick.

If you are located in, resident in, organized under the laws of, or otherwise subject to the jurisdiction of a Restricted Jurisdiction, or if you are a Restricted Person, you may not access or use the Services. No exception is made unless JupiClick expressly states otherwise in writing.

Use of virtual private networks, proxies, anonymization services, account sharing, or other tools to evade these restrictions is strictly prohibited.

1. Introduction

Welcome to JupiClick ("JupiClick," "Company," "we," "us," or "our"). These Terms of Use (the "Terms") govern your access to and use of JupiClick's websites, browser extensions, Telegram bots, dashboards, APIs, interfaces, software, content, and related services (collectively, the "Services").

By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or supplemental terms incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.

These Terms are intended to allocate risk between you and us, define the nature of the Services, and limit our legal responsibility to the maximum extent permitted by applicable law.

2. Important Notice Regarding Restricted Use and Legal Rights

The Services are not developed for, directed to, or offered to Restricted Persons or persons located in Restricted Jurisdictions. If you are a Restricted Person, you may not sign up for, download, access, or use the Services.

These Terms include a binding agreement to resolve disputes through arbitration rather than in court, a waiver of class actions and representative proceedings, and limitations on the time within which claims may be brought. Please read these Terms carefully.

3. Nature of the Services

JupiClick is a non-custodial software interface and transaction-submission tool that enables users to configure, authorize, and submit interactions with third-party blockchain protocols and routing infrastructure, including decentralized exchanges, aggregators, liquidity venues, smart contracts, RPC providers, and related infrastructure.

The Services may include technical functionality that facilitates the submission of blockchain transactions based on user-defined instructions, strategies, parameters, or configurations. Any such submission functionality operates mechanically in accordance with user input and does not involve discretionary portfolio management, fiduciary management, or independent decision-making by JupiClick.

For the avoidance of doubt, JupiClick does not act as a broker, dealer, securities exchange, commodity exchange, money transmitter, custodian, trustee, investment adviser, portfolio manager, fiduciary, or virtual asset service provider, and does not represent that the Services are regulated financial services in any jurisdiction.

4. No Custody; Wallet and Credential Model

Your wallets, digital assets, authentication credentials, private keys, seed phrases, passkeys, API credentials, and any related access methods remain your responsibility at all times.

JupiClick does not provide safekeeping, custodial, recovery, trust, escrow, or wallet administration services. JupiClick does not undertake any duty to preserve your credentials, recover access for you, or ensure the security of your digital assets.

You acknowledge that certain technical processes, integrations, or third-party providers used in connection with the Services may involve encrypted credentials, delegated authority, wallet-provider infrastructure, or other technical mechanisms. You accept all risks associated with such arrangements, including compromise, malfunction, loss of access, delayed revocation, or unauthorized use.

5. Eligibility; Capacity; Compliance Representations

By using the Services, you represent and warrant on an ongoing basis that: (a) you are at least eighteen (18) years old or the age of majority required to enter into a binding agreement in your jurisdiction; (b) you have legal capacity and authority to enter into these Terms; (c) your access to and use of the Services does not violate any law, regulation, sanction, court order, contractual restriction, or obligation applicable to you; (d) your funds and digital assets are not derived from illegal sources; and (e) you are not a Restricted Person and are not using the Services from a Restricted Jurisdiction.

If you access the Services on behalf of a legal entity or another person, you represent and warrant that you have authority to bind that entity or person, and the term "you" includes that entity or person. You are responsible for all acts and omissions of any individual who accesses the Services through your account, device, systems, wallet, or credentials.

6. Restricted Jurisdictions and Restricted Persons

The Services are not intended for use by any individual or entity located in, incorporated in, resident in, organized under the laws of, or otherwise subject to the jurisdiction of any country, territory, or person subject to sanctions, embargoes, or legal restrictions that would make such use unlawful or restricted (each, a "Restricted Jurisdiction" or "Restricted Person").

Restricted Jurisdictions include, without limitation, the United States of America, North Korea, Iran, Syria, Cuba, Venezuela, Russia-sanctioned embargoed territories, and any other jurisdiction in which access to or use of digital asset services is prohibited or materially restricted.

You represent and warrant that you are not a Restricted Person, are not acting on behalf of a Restricted Person, will not coordinate, conduct, control, or make decisions regarding use of the Services from within a Restricted Jurisdiction, and will not make the Services available to any Restricted Person.

7. Sanctions, AML, and Compliance Controls

You agree not to use the Services in connection with money laundering, terrorist financing, sanctions evasion, fraud, market abuse, or any unlawful activity. You further represent and warrant that you are not listed on, owned or controlled by any person listed on, or acting for the benefit of any person listed on, any sanctions or blocked-persons list maintained by the United States, the United Nations, the European Union, the United Kingdom, or any other applicable governmental authority.

You may not use any virtual private network, proxy, Tor relay, anonymization service, forwarding arrangement, account sharing, or other technical mechanism to circumvent geographic, sanctions-related, legal, technical, or compliance restrictions imposed by JupiClick.

We may implement compliance controls, wallet screening, fraud screening, geoblocking, or transaction review measures at our discretion. We may restrict, suspend, terminate, refuse, or delay access to the Services or any transaction if we suspect a violation of these Terms, applicable law, sanctions restrictions, or compliance controls.

8. Changes to the Terms and to the Services

We may revise these Terms at any time by posting an updated version through the Services or on a website controlled by us. Changes become effective when posted unless a later effective date is specified.

We may add, remove, modify, suspend, discontinue, geofence, or restrict any feature, content, integration, interface, pricing model, referral program, or functionality of the Services at any time, with or without notice. We shall not be liable for any loss arising from such changes.

9. Access; Availability; Technical Dependencies

We may withdraw or amend the Services, in whole or in part, at any time, for any reason or no reason, in our sole discretion, without incurring liability to you.

Availability of the Services depends on third-party infrastructure, blockchain networks, RPC providers, wallet providers, hosting providers, APIs, smart contracts, routing systems, and other dependencies outside our control. The Services may become unavailable, degraded, delayed, inaccurate, or inaccessible at any time.

You are solely responsible for obtaining compatible hardware, software, devices, browser versions, network access, and any other arrangements necessary to access the Services.

10. User Accounts, Security, and Notifications

To access certain features, you may be required to create an account, connect a wallet, authorize an integration, or otherwise provide credentials or information. You agree to provide accurate, current, and complete information, to keep it updated, and to maintain the confidentiality and security of your credentials.

You are solely responsible for any use of the Services through your accounts, wallets, credentials, devices, network, or integrations, whether or not authorized by you. If you become aware of unauthorized access or a security incident, you must notify us promptly. Failure to do so may increase losses for which we are not responsible.

You understand that communications, keys, or credentials may be transmitted over networks or through third-party systems. We do not guarantee the security of such transmissions.

11. Third-Party Technologies and Infrastructure

When you use the Services, you are interacting with third-party technologies that may include decentralized exchanges, routing protocols, smart contracts, blockchain nodes, validators, relayers, liquidity sources, launchpads, analytics providers, wallet providers, hosting providers, or other software or services. Those third-party technologies are not owned, operated, audited, endorsed, or controlled by JupiClick unless explicitly stated otherwise.

Your use of third-party technologies is solely between you and the relevant third party and is subject to such third party's own terms, policies, technical limitations, and risks. JupiClick disclaims all responsibility and liability for third-party technologies, including their availability, pricing, functionality, security, legality, quality, correctness, or outcomes.

You release and hold harmless JupiClick and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any loss or liability arising from your use of third-party technologies, even where such technologies are integrated into or made accessible through the Services.

12. Transaction Processing and User Authorization

The Services may permit you to define, authorize, configure, or preselect transaction instructions, strategies, triggers, or conditions. Any transaction submitted through the Services is deemed initiated, authorized, approved, and requested by you.

JupiClick does not exercise discretion, judgment, or independent control over your trading decisions, transaction parameters, selected assets, counterparties, copy-trading choices, target wallets, thresholds, slippage settings, timing preferences, or routing outcomes.

Any technical submission or forwarding of a transaction by the Services is undertaken solely as a mechanical consequence of your configuration, authorization, and use. Such facilitation does not create a fiduciary, brokerage, agency, advisory, or discretionary relationship between you and JupiClick.

13. Automated Instructions, Limit Orders, and Copy Trading

Certain features may allow you to configure ongoing or conditional instructions, including limit orders, take-profit logic, stop conditions, copy trading, strategy mirroring, batch actions, recurring or triggered transactions, or similar automated functionality.

By using such features, you acknowledge and agree that: (a) all such instructions are created, selected, and controlled solely by you; (b) any resulting transaction is treated as initiated and authorized by you at the time of configuration and at the time of submission; (c) such features may continue to operate until cancelled, exhausted, revoked, or otherwise terminated; and (d) you, and not JupiClick, bear all responsibility for monitoring, revising, cancelling, and understanding such instructions and their effects.

JupiClick does not guarantee that automated instructions will execute when expected, execute at all, or execute under favorable conditions. Delays, skipped events, stale data, smart contract changes, wallet issues, API issues, liquidity conditions, price movement, latency, and third-party failures may cause materially different results than you expect.

14. Routing, Pricing, and Execution Risks

Displayed prices, token information, estimated output amounts, gas estimates, fee estimates, route previews, wallet balances, PnL, and other information made available through the Services are illustrative and may be delayed, incomplete, stale, or inaccurate.

Execution outcomes may be affected by slippage, liquidity fragmentation, quote expiration, front-running, sandwich attacks, maximal extractable value (MEV), reorgs, transaction replacement, failed simulations, wallet latency, validator behavior, routing changes, or smart contract behavior.

You acknowledge that JupiClick has no control over final execution results, counterparties, route selection outcomes, settlement timing, or token transfer success once a transaction is submitted to the relevant third-party infrastructure.

15. Fees, Charges, and Taxes

Use of the Services may involve service fees charged by JupiClick and/or fees charged by third parties, including network fees, priority fees, routing-related charges, protocol fees, validator tips, relayer charges, wallet-provider charges, or other transaction-related costs.

All fees are subject to change at any time, with or without notice, to the maximum extent permitted by law. Any fee information displayed by the Services is informational only and may not reflect final charged amounts.

You are solely responsible for determining, reporting, and paying all taxes, duties, levies, or governmental charges arising from your use of the Services or transactions involving digital assets. We do not provide tax advice.

16. Referral Program and Promotional Programs

We may offer referral, rebate, rewards, campaign, beta-access, incentive, or promotional programs from time to time. Any such program may be modified, suspended, interpreted, or discontinued by us at any time in our sole discretion.

We do not guarantee eligibility, payouts, tracking accuracy, timing, continued availability, or any particular calculation methodology for any referral or promotional program. We may refuse, reverse, claw back, offset, cancel, or withhold any referral or promotional benefit if we suspect abuse, self-referrals, prohibited conduct, fraud, technical manipulation, sanctions issues, or violation of these Terms.

17. Prohibited Uses

You may not use the Services to engage in or facilitate any unlawful, deceptive, manipulative, abusive, or harmful conduct.

Without limitation, you agree not to: (a) use the Services for money laundering, terrorist financing, sanctions evasion, market manipulation, wash trading, spoofing, layering, front-running, self-dealing, fraud, or theft; (b) exploit bugs, vulnerabilities, or unintended functionality; (c) reverse engineer, decompile, disassemble, adapt, alter, or create derivative works of the Services except as expressly permitted by mandatory law; (d) scrape or systematically extract data without our written permission; (e) interfere with the Services or related systems through malware, denial-of-service attacks, spam, abuse, or unauthorized automation; (f) use the Services to infringe third-party rights; or (g) make the Services available to Restricted Persons.

18. Intellectual Property Rights

The Services and all related software, interfaces, content, graphics, designs, layouts, trademarks, names, trade dress, algorithms, databases, selections, compilations, and materials are owned by JupiClick or its licensors and are protected by applicable intellectual property and proprietary rights laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own lawful internal or personal use. No rights are granted except as expressly stated.

You may not copy, distribute, sell, resell, publish, license, transfer, frame, mirror, modify, create derivative works of, or otherwise exploit the Services except as expressly allowed by these Terms or with our prior written consent.

19. Feedback

If you provide us with comments, suggestions, ideas, reports, enhancements, requests, or other feedback concerning the Services ("Feedback"), you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up license to use, reproduce, modify, distribute, display, perform, sublicense, and otherwise exploit that Feedback for any purpose without restriction, attribution, or compensation.

20. Privacy and Data

Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, transfer, and processing of information as described there.

You acknowledge that information transmitted through the Services or stored by third-party providers may be subject to security incidents, corruption, loss, access by threat actors, or government requests. We do not guarantee confidentiality, integrity, or availability.

21. No Financial, Investment, Legal, or Tax Advice

The Services are informational and technical in nature only. Nothing in the Services constitutes or should be construed as financial advice, investment advice, legal advice, tax advice, trading advice, brokerage advice, recommendations, endorsements, offers to sell, solicitations, or representations regarding the suitability of any asset, transaction, route, strategy, or market.

No fiduciary, advisory, brokerage, agency, partnership, joint venture, trust, or similar relationship is created between you and JupiClick by virtue of your use of the Services. You are solely responsible for evaluating all transactions and obtaining independent professional advice where appropriate.

22. Assumption of Risk

You understand and accept all risks associated with digital assets, blockchain networks, decentralized finance, routing systems, smart contracts, token issuers, trading interfaces, automated transaction tools, and internet-based systems.

These risks include, without limitation, extreme volatility, illiquidity, malicious or defective smart contracts, rug pulls, oracle failures, bridge failures, token delistings, network congestion, validator failures, protocol upgrades, governance attacks, chain forks, attacks by third parties, permanent loss of assets, and legal or regulatory changes.

You assume all risks of loss relating to your access to and use of the Services and your transactions, whether such loss results from market conditions, your own actions, technical malfunction, third-party failure, unauthorized access, compromise of credentials, or any other cause.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, JUPICLICK DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, QUIET ENJOYMENT, AVAILABILITY, SECURITY, QUALITY, COMPLETENESS, INTEROPERABILITY, OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE SERVICES, ANY CONTENT, ANY TRANSACTION SUBMISSION FUNCTIONALITY, OR ANY INFORMATION MADE AVAILABLE THROUGH THE SERVICES WILL BE AVAILABLE, SECURE, TIMELY, ACCURATE, RELIABLE, UNINTERRUPTED, ERROR-FREE, OR FREE OF MALICIOUS CODE.

24. Release and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUPICLICK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AGENTS, SERVICE PROVIDERS, AND SUCCESSORS (COLLECTIVELY, THE "JUPICLICK PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR DIGITAL ASSETS, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

WITHOUT LIMITING THE FOREGOING, THE JUPICLICK PARTIES SHALL NOT BE LIABLE FOR ANY LOSS ARISING FROM OR RELATED TO: (a) YOUR TRANSACTIONS, DECISIONS NOT TO TRANSACT, OR THE RESULTS OF ANY STRATEGY; (b) THIRD-PARTY TECHNOLOGIES OR CONTENT; (c) SMART CONTRACT BEHAVIOR; (d) NETWORK CONDITIONS, CONGESTION, REORGS, OR FORKS; (e) SECURITY BREACHES, THREAT ACTORS, OR UNAUTHORIZED ACCESS; (f) DATA LOSS, DATA CORRUPTION, OR STALE INFORMATION; (g) FAILURE TO CANCEL OR MODIFY AUTOMATED INSTRUCTIONS IN TIME; or (h) SUSPENSION, TERMINATION, OR MODIFICATION OF THE SERVICES.

You release and hold harmless the JupiClick Parties from and against all losses, liabilities, claims, and damages arising from your use of the Services or any third-party technologies made accessible through them.

25. Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE JUPICLICK PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SERVICE FEES ACTUALLY PAID BY YOU TO JUPICLICK IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100).

The existence of multiple claims, events, or causes of action shall not enlarge this cap.

26. Indemnification

You agree to defend, indemnify, and hold harmless the JupiClick Parties from and against any and all claims, demands, actions, proceedings, investigations, liabilities, judgments, damages, losses, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of applicable law or third-party rights; (d) your digital assets, wallets, transactions, strategies, or automated instructions; or (e) any allegation that your use of the Services caused harm to another person or entity.

27. Suspension and Termination

We may, at any time and in our sole discretion, suspend, restrict, disable, geoblock, or terminate your access to all or any part of the Services, with or without notice, for any reason or no reason, including where we suspect fraud, prohibited conduct, sanctions issues, security risk, technical abuse, or a breach of these Terms.

We shall not be liable for any loss arising from suspension, geoblocking, refusal of service, transaction rejection, account restriction, or termination. Provisions of these Terms that by their nature should survive will survive termination.

28. Dispute Resolution; Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the existence, validity, interpretation, breach, termination, or enforceability thereof, shall first be submitted to good-faith negotiations by written notice.

If the dispute is not resolved within thirty (30) days, it shall be finally resolved by confidential, binding arbitration administered under the Rules of Arbitration of the International Chamber of Commerce (ICC) by a single arbitrator, unless the amount in dispute or applicable law requires otherwise.

The seat of arbitration shall be Dubai, United Arab Emirates. The language of arbitration shall be English.

The arbitrator shall have exclusive authority to determine arbitrability, scope, and enforceability of this arbitration agreement, except where prohibited by applicable law.

Notwithstanding the foregoing, JupiClick reserves the right to seek injunctive or equitable relief in any competent court to protect its rights, intellectual property, or confidential information..

29. Class Action Waiver; Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES SHALL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING, WHETHER IN COURT OR IN ARBITRATION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JUPICLICK IRREVOCABLY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

30. Governing Law

These Terms and any non-arbitrable dispute shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles.

31. Limitation Period

Any claim arising out of or relating to the Services or these Terms must be brought within six (6) months after the cause of action arose, unless a longer period is required by mandatory law. Any claim not brought within that time is permanently barred.

32. Miscellaneous

These Terms constitute the entire agreement between you and JupiClick regarding the Services and supersede all prior or contemporaneous understandings relating to the Services.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be interpreted to the maximum extent permissible to reflect its intended effect.

No waiver of any provision shall be effective unless in writing and signed by an authorized representative of JupiClick. Our failure to enforce any provision is not a waiver. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without restriction.

We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, internet failures, denial-of-service attacks, war, terrorism, sanctions changes, labor disputes, blockchain outages, protocol failures, natural disasters, or governmental actions.

Appendix A — Definitions

"Authentication Credentials" means private keys, seed phrases, wallet passwords, passkeys, API keys, device credentials, and any other means of accessing or authorizing a wallet or account.

"Restricted Jurisdiction" means any jurisdiction where access to or use of the Services would be unlawful, restricted, sanctioned, or otherwise prohibited.

"Restricted Person" means any person located in, resident in, organized under the laws of, subject to the jurisdiction of, acting on behalf of, or listed under sanctions applicable to a Restricted Jurisdiction or sanctions regime.

"Services" means all websites, browser extensions, Telegram bots, APIs, dashboards, interfaces, software, content, and related services offered by JupiClick.

"Third-Party Technologies" means any decentralized exchanges, aggregators, protocols, smart contracts, APIs, wallet providers, hosting services, routing providers, validators, relayers, bridges, or other third-party systems made accessible through or used in connection with the Services.

Appendix B — Risk Disclosure Summary

Digital asset trading and use of decentralized technologies are highly risky. Prices may move to zero. Smart contracts may fail. Wallets and credentials may be compromised. Execution may fail, be delayed, or occur at materially worse prices than expected. Regulatory changes may make certain assets or activities unlawful or inaccessible. You should not use the Services unless you fully understand and can bear the risk of total loss.
